PUBLIC CONTRACT

Before paying for the services, please read the terms and conditions of this Public Agreement for the provision of services in the field of development and delivery of online and offline educational courses in the direction of self-development. (hereinafter referred to as the Agreement). If you do not accept the terms of the agreement in full, you do not have the right to use it for any purpose. Ignorance of the Agreement or failure to familiarize with it is not exempt from the obligatory person and the terms of this Agreement.
1. SUBJECT OF THE AGREEMENT AND THE PROCEDURE FOR ITS CONCLUSION
1.1. The agreement is a public contract and a procedure for the provision of services in the field of providing services for the development and conduct of online and offline courses in the direction of business assistance, as well as mutual rights, obligations and the order of the Individual Entrepreneur Martynov Yury Yurievich (identification number: 306412058, registered in: Georgia, Tbilisi, Samgori district, police lane I N5, floor 2, N4a, passport number 75 0144773), hereinafter referred to as “Contractor”, and an indefinite circle of individuals and legal entities accepted by this Agreement, hereinafter referred to as the "Customer", and jointly referred to as the parties.
1.2. The Contractor under this agreement undertakes to provide reimbursable services in the field of providing services for the development and conduct of online and offline courses in the direction of self-development, meditation and psychology.
1.3. The list and conditions for the provision of services are posted on the website https://om-community.com/, as well as in other messengers and platforms owned by the Contractor.
Confirmation of acceptance of this agreement is the payment made by the Customer according to the details specified in this agreement.
1.4. The executor undertake:
-after the payment made by the Customer, conduct a lesson according to the developed program at the time specified by the Contractor in the specified format or provide the Customer with a link to study the course;
1.5. The Customer undertakes to accept the Services, return in clause 1.2. and 1.3 of this Agreement, and the timeliness of their payment in the manner and on the terms of the existence of a real Agreement.
1.6. The text of this Agreement is published on the Internet at the following address: https://om-community.com/offer and is a public offer (offer) of the Performers, addressed to an indefinite circle of individuals and legal entities, to conclude this Agreement.
1.7. The conclusion of this Agreement occurred by joining the Customer to this Agreement, i.e. through the acceptance (acceptance) by the Customer of the terms of this Agreement as a whole, without any conditions, exceptions or reservations.
1.8. The fact of acceptance (acceptance) by the Customer of the terms of this Agreement is the application by the Customer of payment according to the details of the Contractors, recommendations in accordance with the terms of the agreement.
1.9. The performance by the Customer of the action to accept the offer means the full and unconditional acceptance by the Customer of the terms of this Agreement.
2. TERMS OF SERVICE
2.1. The documents, required to fulfill the terms of this Agreement, can be transferred either by the Contractor of choice to the Customer from the condition:
- transfer of access to the Customer to Google Sheets / Forms, telegram bots to fill in information, sent to the Customer's email address or to the Customer's messengers and channels;
3. OBLIGATIONS AND RIGHTS OF THE PARTIES 3.1. The contractor is obliged:
3.1.1. Organize and ensure the proper quality of the services provided for in Clause 1.2., Clause 1.3 of this Agreement.
3.1.2. Execute the order of the Customer assumed, specified in clause 1.2 and clause 1.3. of this Agreement, in strict accordance with this Agreement.
3.1.3. Timely check e-mails received at the e-mail address school.nikarude@gmail.com or messenger (Viber/Telegram, etc.) from the addresses that the Customer indicated in his
Application.
3.2. The performer has the right:
3.2.1. Demand payment for the cost of services rendered in accordance with the agreements with the Customer.
3.2.2. Require the Customer to comply with the terms of this Agreement.
3.2.3. Engage third parties to provide services under this Agreement, being responsible for their actions as for their own.
3.2.4. Make changes to the text of this Agreement unilaterally without prior agreement with the Customer. The text of changes (additions) to this Agreement or its new version is brought to the public by the Contractor by posting (publishing) the relevant information at: https://om-community.com/offer The Contractor does not undertake the obligation to notify the Customer of the changes (additions) made by mailing.
3.3. The customer is obliged:
3.3.1. Pay the cost of the services provided by the Contractor in full within the terms agreed with the Contractor;
3.3.2. Provide reliable information necessary for the Contractor for the proper provision of services.
3.4. The customer has the right:
3.4.1. Control the quality of the services provided by the Contractors and companies/specialists that directly provide services to him, and, if necessary, make suggestions for their improvement.
4. PROCEDURE, CONDITIONS AND FORM OF PAYMENTS
4.1. The cost of services under this agreement is determined according ads for these services placed on the Contractor's platforms and is paid by transferring non-cash funds to the details of the Contractor as an advance payment for the agreed work/service.
4.2. The date of payment will be the day the funds are credited to the details of the Contractor. 4.3. All costs associated with making payments under this Agreement to the account of the Contractor shall be borne by the Customer.
4.4. Payment for the cost of services is made according to the details of the Contractor in lari at the rate of the National Bank of Georgia on the day of payment for Georgian Customers. For all others, it is possible to pay in another currency according to the details of the Contractor.
5. OTHER TERMS
5.1. The contract is recognized as concluded at the moment the Contractor receives an advance payment from the Customer. The date of acceptance under this Agreement is the date of crediting the Customer's funds to the details of the Contractor.
5.2. This agreement is drawn up in Russian and in English.
5.3. The Parties shall maintain confidentiality with respect to all information received by them in connection with the conclusion and execution of this agreement, and will do everything possible to prevent unauthorized disclosure of the information received.
5.4. By leaving personal data, the Customer thereby confirms his consent to the processing (including collection, systematization, accumulation, storage, clarification, use, transfer, blocking, destruction, cross-border transfer of personal data, etc.) of the Customer's data specified at the conclusion of this Agreement, and receiving emails and SMS messages.
5.5. The processing of personal data is carried out in accordance with the Privacy Policy posted on the Contractor's website https://om-community.com/
5.6. The Customer is aware and agrees that telephone conversations with the Contractor, online and offline classes may be recorded in order to control the quality of the Contractor's work.
5.7. The Contractor has the exclusive right to interpret the terms and conditions of this Agreement.
5.8. The parties agree that they unconditionally recognize the legal force of any documents, transmitted via communication channels (e-mail, fax, instant messengers) along with documents executed in simple written form on paper. At the same time, the parties acknowledge that receiving and / or sending letters from email addresses, fax or instant messengers is the official correspondence of the parties.
5.9. The Parties undertake to inform each other about changes in postal, legal addresses, e-mail addresses, messenger accounts, bank details and other personal data via e-mail within 5 (five) calendar days from the date of such change.
5.10. The Contractor has the right to refuse to execute this Agreement unilaterally in the following cases:
- when the violation by the Customer of its obligations under this Agreement impedes the execution of the Agreement by the Contractor;
- manifestation on the part of the Customer of aggression or disrespectful attitude towards the Contractor, its representatives, companies and specialists of the Customer;
- in the event that the Customer provides deliberately incorrect (false) information when concluding and/or executing the contract.
5.11. The Customer has the right to refuse to execute this Agreement unilaterally. The advance payment made by the Customer is non-refundable.
5.12. The Party shall notify the other Party of the exercise of the right to unilaterally withdraw from the Agreement by sending an appropriate notification by e-mail to school.nikarude@gmail.com. The Agreement shall be deemed terminated on the day the Party receives such notification.
5.13. This Agreement may be terminated by agreement of the parties, as well as in the event that either party exercises the right of unilateral refusal in the cases provided for in this Agreement.

В ОБЛАСТИ ОКАЗАНИЯ УСЛУГ ПО РАЗРАБОТКЕ И ПРОВЕДЕНИЮ ОНЛАЙН И ОФФЛАЙН- КУРСОВ ПО САМОРАЗВИТИЮ, МЕДИТАЦИИ И ПСИХОЛОГИИ.
В ОБЛАСТИ ОКАЗАНИЯ УСЛУГ ПО РАЗРАБОТКЕ И ПРОВЕДЕНИЮ ОНЛАЙН И ОФФЛАЙН- КУРСОВ ПО САМОРАЗВИТИЮ, МЕДИТАЦИИ И ПСИХОЛОГИИ.
Перед оплатой услуг, пожалуйста, ознакомьтесь с условиями настоящего Публичного договора на оказание услуг в сфере оказания услуг по разработке и проведению онлайн и оффлайн образовательных курсов по направлению саморазвитие (далее – Договор). Если вы не принимаете условия соглашения в полном объеме, вы не имеете права использовать его в любых целях. Незнание Соглашения или неознакомление с ним не освобождает от обязанностей лица и условий настоящего Соглашения.
1. ПРЕДМЕТ ДОГОВОРА И ПОРЯДОК ЕГО ЗАКЛЮЧЕНИЯ
1.1. Соглашение является публичным договором и порядком оказания услуг в сфере оказания услуг по разработке и проведению онлайн и оффлайн-курсов по саморазвитию, медитации и психологии.. ИП Martynov Yury Yurievich (ИНН: 306412058, место регистрации: Грузия, Тбилиси, район Самгори, Полицейский переулок I N5, 2 этаж, N4a, паспортный номер 75 0144773), именуемый в дальнейшем «Исполнитель», и неопределенный круг физических и юридических лиц, принятых настоящим Соглашением, именуемых в дальнейшем «Заказчик», а совместно именуемых сторонами.
1.2. Исполнитель по настоящему договору обязуется оказывать возмездные услуги в сфере оказания услуг по разработке и проведению онлайн и оффлайн-курсов по направлению саморазвитие, медитации и психология.
1.3. Перечень и условия оказания услуг размещаются на сайте
https://om-community.com/, а также в других мессенджерах и платформах, принадлежащих Исполнителю.
Подтверждением принятия настоящего договора является оплата Заказчиком по реквизитам, указанным в настоящем договоре.
1.4. Исполнитель обязуется:
- после оплаты Заказчиком провести занятие по разработанной программе в указанное Исполнителем время в указанном формате или предоставить Заказчику ссылку на изучение курса;
1.5. Заказчик обязуется принять Услуги, описанные в п. 1.2. и 1.3 настоящего Соглашения, и своевременно их оплатить в порядке и на условиях настоящего Соглашения.
1.6. Текст настоящего Соглашения публикуется в сети Интернет по следующему адресу:
https://om-community.com/offer и является публичной офертой (офертой) Исполнителей, адресованной неопределенному кругу физических и юридических лиц, заключить настоящий Договор.
1.7. Заключение настоящего Соглашения происходит путем присоединения Заказчика к настоящему Соглашению, т.е. путем принятия (акцепта) Заказчиком условий настоящего Соглашения в целом, без каких-либо условий, исключений и оговорок.
1.8. Фактом принятия (акцепта) Заказчиком условий настоящего Договора является производство Заказчиком оплаты по реквизитам Исполнителей, указанных в настоящем договоре.
1.9. Совершение Заказчиком действия по акцепту оферты означает полное и безоговорочное принятие Заказчиком условий настоящего Соглашения.
2. УСЛОВИЯ ОБСЛУЖИВАНИЯ
2.1. Документы, необходимые для выполнения условий настоящего Договора, могут быть переданы Заказчику любым способом, выбранным Исполнителем:
- передача доступа Заказчику к Google Таблицам/Формам, телеграм-ботам для заполнения информации, отправленной на адрес электронной почты Заказчика или в мессенджеры и каналах Заказчика;
3. ОБЯЗАННОСТИ И ПРАВА СТОРОН
3.1. Исполнитель обязан:
3.1.1. Организовывать и обеспечивать надлежащее качество оказания услуг, предусмотренных п. 1.2., п. 1.3 настоящего Договора.
3.1.2. Выполнить предполагаемый заказ Заказчика, указанный в п.1.2 и п.1.3. настоящего Соглашения, в строгом соответствии с настоящим Соглашением.
3.1.3. Своевременно проверять электронные письма, поступающие на адрес электронной почты school.nikarude@gmail.com или в мессенджеры (Viber/Telegram и т.п.) с адресов, которые Заказчик указал в своей Заявке.
3.2. Исполнитель имеет право:
3.2.1. Требовать оплаты стоимости оказанных услуг
в соответствии с договорами с Заказчиком.
3.2.2. Требовать от Заказчика соблюдения условий настоящего Соглашения.
3.2.3. Привлекать третьих лиц для оказания услуг по настоящему Соглашению, неся ответственность за их действия как за свои собственные.
3.2.4. Вносить изменения в текст настоящего Соглашения в одностороннем порядке без предварительного согласования с Заказчиком. Текст изменений (дополнений) к настоящему Соглашению или его новой редакции доводится до всеобщего сведения Исполнителем путем размещения (опубликования) соответствующей информации по адресу: https://om-community.com/offer
Исполнитель не берет на себя обязательств по уведомлению Заказчика о вносимых изменениях (дополнениях) почтовым отправлением.
3.3. Заказчик обязан:
3.3.1. Оплатить стоимость оказанных Исполнителем услуг в полном объеме в сроки, согласованные с Исполнителем;
3.3.2. Предоставлять достоверную информацию, необходимую Исполнителю для надлежащего оказания услуг.
3.4. Заказчик имеет право:
3.4.1. Контролировать качество услуг, оказываемых Исполнителями и компаниями/специалистами, непосредственно оказывающими ему услуги, и при необходимости вносить предложения по их улучшению.
4. ПОРЯДОК, УСЛОВИЯ И ФОРМА ПЛАТЕЖЕЙ
4.1. Стоимость услуг по настоящему договору определяется по объявлениям об этих услугах, размещенным на площадках Исполнителя, и оплачивается путем перечисления безналичных денежных средств на реквизиты Исполнителя в качестве предоплаты за согласованную работу/услугу.
4.2. Датой оплаты будет день зачисления денежных средств на реквизиты Исполнителя. 4.3. Все расходы, связанные с осуществлением платежей по настоящему Договору на счет Исполнителя, несет Заказчик.
4.4. Оплата стоимости услуг производится по реквизитам Исполнителя в лари по курсу Национального банка Грузии на день оплаты для Грузинских Заказчиков. Для всех остальных возможна оплата в другой валюте по реквизитам Исполнителя.
5. ПРОЧИЕ УСЛОВИЯ
5.1. Договор признается заключенным в момент получения Исполнителем предоплаты от Заказчика. Датой акцепта по настоящему Договору является дата зачисления денежных средств Заказчика на реквизиты Исполнителя.
5.2. Настоящий договор составлен на русском и английском языках.
5.3. Стороны обязуются соблюдать конфиденциальность в отношении всей информации, полученной ими в связи с заключением и исполнением настоящего договора, и сделают все возможное для предотвращения несанкционированного разглашения полученной информации.
5.4. Оставляя персональные данные, Заказчик тем самым подтверждает свое согласие на обработку (в том числе сбор, систематизацию, накопление, хранение, уточнение, использование, передачу, блокирование, уничтожение, трансграничную передачу персональных данных и т.п.) указанных данных Заказчика при заключении настоящего Соглашения, а также при получении электронных писем и SMS-сообщений.
5.5. Обработка персональных данных осуществляется в соответствии с Политикой конфиденциальности, размещенной на сайте Исполнителя

5.6. Заказчик осведомлен и согласен с тем, что телефонные разговоры с Исполнителем, онлайн- и офлайн-занятия могут записываться в целях контроля качества работы Исполнителя.
5.7. Исключительное право на толкование условий настоящего Соглашения принадлежит Исполнителю.
5.8. Стороны соглашаются с тем, что безоговорочно признают юридическую силу любых документов, переданных по каналам связи (электронная почта, факс, мессенджеры) наряду с документами, оформленными в простой письменной форме на бумажном носителе. При этом стороны признают, что получение и/или отправка писем с адресов электронной почты, факса или мессенджеров является служебной перепиской сторон.
5.9. Стороны обязуются информировать друг друга об изменении почтового, юридического адресов, адресов электронной почты, мессенджер-счетов, банковских реквизитов и иных персональных данных посредством электронной почты в течение 5 (пяти) календарных дней с момента такого изменения.
5.10. Исполнитель вправе отказаться от исполнения настоящего Договора в одностороннем порядке в следующих случаях:
- когда нарушение Заказчиком своих обязательств по настоящему Договору препятствует исполнению Договора Исполнителем;
- проявление со стороны Заказчика агрессии или неуважительного отношения к Исполнителю, его представителям, компаниям и специалистам Заказчика;
- в случае предоставления Заказчиком заведомо неверной (ложной) информации при заключении и/или исполнении договора.
5.11. Заказчик вправе отказаться от исполнения настоящего Соглашения в одностороннем порядке. Предоплата, внесенная Заказчиком, возврату не подлежит.
5.12. Сторона уведомляет другую Сторону об осуществлении права на односторонний выход из Договора путем направления соответствующего уведомления.

1. ПРЕДМЕТ ДОГОВОРА И ПОРЯДОК ЕГО ЗАКЛЮЧЕНИЯ
1.1. Соглашение является публичным договором и порядком оказания услуг в сфере оказания услуг по разработке и проведению онлайн и оффлайн-курсов по саморазвитию, медитации и психологии.. ИП Martynov Yury Yurievich (ИНН: 306412058, место регистрации: Грузия, Тбилиси, район Самгори, Полицейский переулок I N5, 2 этаж, N4a, паспортный номер 75 0144773), именуемый в дальнейшем «Исполнитель», и неопределенный круг физических и юридических лиц, принятых настоящим Соглашением, именуемых в дальнейшем «Заказчик», а совместно именуемых сторонами.
1.2. Исполнитель по настоящему договору обязуется оказывать возмездные услуги в сфере оказания услуг по разработке и проведению онлайн и оффлайн-курсов по направлению саморазвитие, медитации и психология.
1.3. Перечень и условия оказания услуг размещаются на сайте
https://om-community.com/, а также в других мессенджерах и платформах, принадлежащих Исполнителю.
Подтверждением принятия настоящего договора является оплата Заказчиком по реквизитам, указанным в настоящем договоре.
1.4. Исполнитель обязуется:
- после оплаты Заказчиком провести занятие по разработанной программе в указанное Исполнителем время в указанном формате или предоставить Заказчику ссылку на изучение курса;
1.5. Заказчик обязуется принять Услуги, описанные в п. 1.2. и 1.3 настоящего Соглашения, и своевременно их оплатить в порядке и на условиях настоящего Соглашения.
1.6. Текст настоящего Соглашения публикуется в сети Интернет по следующему адресу:
https://om-community.com/offer и является публичной офертой (офертой) Исполнителей, адресованной неопределенному кругу физических и юридических лиц, заключить настоящий Договор.
1.7. Заключение настоящего Соглашения происходит путем присоединения Заказчика к настоящему Соглашению, т.е. путем принятия (акцепта) Заказчиком условий настоящего Соглашения в целом, без каких-либо условий, исключений и оговорок.
1.8. Фактом принятия (акцепта) Заказчиком условий настоящего Договора является производство Заказчиком оплаты по реквизитам Исполнителей, указанных в настоящем договоре.
1.9. Совершение Заказчиком действия по акцепту оферты означает полное и безоговорочное принятие Заказчиком условий настоящего Соглашения.
2. УСЛОВИЯ ОБСЛУЖИВАНИЯ
2.1. Документы, необходимые для выполнения условий настоящего Договора, могут быть переданы Заказчику любым способом, выбранным Исполнителем:
- передача доступа Заказчику к Google Таблицам/Формам, телеграм-ботам для заполнения информации, отправленной на адрес электронной почты Заказчика или в мессенджеры и каналах Заказчика;
3. ОБЯЗАННОСТИ И ПРАВА СТОРОН
3.1. Исполнитель обязан:
3.1.1. Организовывать и обеспечивать надлежащее качество оказания услуг, предусмотренных п. 1.2., п. 1.3 настоящего Договора.
3.1.2. Выполнить предполагаемый заказ Заказчика, указанный в п.1.2 и п.1.3. настоящего Соглашения, в строгом соответствии с настоящим Соглашением.
3.1.3. Своевременно проверять электронные письма, поступающие на адрес электронной почты school.nikarude@gmail.com или в мессенджеры (Viber/Telegram и т.п.) с адресов, которые Заказчик указал в своей Заявке.
3.2. Исполнитель имеет право:
3.2.1. Требовать оплаты стоимости оказанных услуг
в соответствии с договорами с Заказчиком.
3.2.2. Требовать от Заказчика соблюдения условий настоящего Соглашения.
3.2.3. Привлекать третьих лиц для оказания услуг по настоящему Соглашению, неся ответственность за их действия как за свои собственные.
3.2.4. Вносить изменения в текст настоящего Соглашения в одностороннем порядке без предварительного согласования с Заказчиком. Текст изменений (дополнений) к настоящему Соглашению или его новой редакции доводится до всеобщего сведения Исполнителем путем размещения (опубликования) соответствующей информации по адресу: https://om-community.com/offer
Исполнитель не берет на себя обязательств по уведомлению Заказчика о вносимых изменениях (дополнениях) почтовым отправлением.
3.3. Заказчик обязан:
3.3.1. Оплатить стоимость оказанных Исполнителем услуг в полном объеме в сроки, согласованные с Исполнителем;
3.3.2. Предоставлять достоверную информацию, необходимую Исполнителю для надлежащего оказания услуг.
3.4. Заказчик имеет право:
3.4.1. Контролировать качество услуг, оказываемых Исполнителями и компаниями/специалистами, непосредственно оказывающими ему услуги, и при необходимости вносить предложения по их улучшению.
4. ПОРЯДОК, УСЛОВИЯ И ФОРМА ПЛАТЕЖЕЙ
4.1. Стоимость услуг по настоящему договору определяется по объявлениям об этих услугах, размещенным на площадках Исполнителя, и оплачивается путем перечисления безналичных денежных средств на реквизиты Исполнителя в качестве предоплаты за согласованную работу/услугу.
4.2. Датой оплаты будет день зачисления денежных средств на реквизиты Исполнителя. 4.3. Все расходы, связанные с осуществлением платежей по настоящему Договору на счет Исполнителя, несет Заказчик.
4.4. Оплата стоимости услуг производится по реквизитам Исполнителя в лари по курсу Национального банка Грузии на день оплаты для Грузинских Заказчиков. Для всех остальных возможна оплата в другой валюте по реквизитам Исполнителя.
5. ПРОЧИЕ УСЛОВИЯ
5.1. Договор признается заключенным в момент получения Исполнителем предоплаты от Заказчика. Датой акцепта по настоящему Договору является дата зачисления денежных средств Заказчика на реквизиты Исполнителя.
5.2. Настоящий договор составлен на русском и английском языках.
5.3. Стороны обязуются соблюдать конфиденциальность в отношении всей информации, полученной ими в связи с заключением и исполнением настоящего договора, и сделают все возможное для предотвращения несанкционированного разглашения полученной информации.
5.4. Оставляя персональные данные, Заказчик тем самым подтверждает свое согласие на обработку (в том числе сбор, систематизацию, накопление, хранение, уточнение, использование, передачу, блокирование, уничтожение, трансграничную передачу персональных данных и т.п.) указанных данных Заказчика при заключении настоящего Соглашения, а также при получении электронных писем и SMS-сообщений.
5.5. Обработка персональных данных осуществляется в соответствии с Политикой конфиденциальности, размещенной на сайте Исполнителя

5.6. Заказчик осведомлен и согласен с тем, что телефонные разговоры с Исполнителем, онлайн- и офлайн-занятия могут записываться в целях контроля качества работы Исполнителя.
5.7. Исключительное право на толкование условий настоящего Соглашения принадлежит Исполнителю.
5.8. Стороны соглашаются с тем, что безоговорочно признают юридическую силу любых документов, переданных по каналам связи (электронная почта, факс, мессенджеры) наряду с документами, оформленными в простой письменной форме на бумажном носителе. При этом стороны признают, что получение и/или отправка писем с адресов электронной почты, факса или мессенджеров является служебной перепиской сторон.
5.9. Стороны обязуются информировать друг друга об изменении почтового, юридического адресов, адресов электронной почты, мессенджер-счетов, банковских реквизитов и иных персональных данных посредством электронной почты в течение 5 (пяти) календарных дней с момента такого изменения.
5.10. Исполнитель вправе отказаться от исполнения настоящего Договора в одностороннем порядке в следующих случаях:
- когда нарушение Заказчиком своих обязательств по настоящему Договору препятствует исполнению Договора Исполнителем;
- проявление со стороны Заказчика агрессии или неуважительного отношения к Исполнителю, его представителям, компаниям и специалистам Заказчика;
- в случае предоставления Заказчиком заведомо неверной (ложной) информации при заключении и/или исполнении договора.
5.11. Заказчик вправе отказаться от исполнения настоящего Соглашения в одностороннем порядке. Предоплата, внесенная Заказчиком, возврату не подлежит.
5.12. Сторона уведомляет другую Сторону об осуществлении права на односторонний выход из Договора путем направления соответствующего уведомления.
